1. Agreement:

3. Client Responsibilities:

• Provide clear access, info, and feedback
• Pay invoices on time

4. Payment Terms:

• Due in 15 days unless otherwise agreed.
•  Late fees apply

5. Confidentiality:

• Mutual agreement to protect sensitive info.

6. IP Ownership:

• Client owns provided materials
• Najix owns internal tools/methods
• Deliverables are licensed to client upon payment

7. Warranties:

• Services are provided with reasonable skill
• No guaranteed results

8. Limitation of Liability:

• Capped at total fees paid in prior 3 months
  
  

9. Termination:

• Either party may terminate with 30 days’ notice

10. Governing Law:

• Governed by New York law (or client’s local law, as agreed)

11. Changes:

• We may revise terms and notify clients
